Risk & earnings disclosure
Selling on Amazon carries commercial risk
This page sets out, plainly, what Trexa does not promise and where commercial risk sits. It is written to be read before an engagement, not discovered afterwards.
What this page covers
Trexa provides operational services for Amazon businesses. This disclosure concerns three separate things that are easy to confuse, and which this page keeps apart deliberately:
- The commercial risk of selling on AmazonWhich exists whether or not Trexa is involved, and which the account owner carries.
- What Trexa’s services do and do not includeOperational work on an agreed scope. Not a promise about results.
- How Trexa is paidDefined in a signed engagement agreement, not on this website.
Capital can be lost
An Amazon business is a commercial undertaking. Money committed to it can be lost, in full or in part. That includes, without being limited to:
- Inventory that does not sell through, sells below cost, or has to be liquidated or disposed of
- Advertising spend that does not produce a return
- Operating costs such as prep, freight, storage, software and professional fees
- Fees charged by Amazon, including storage, removal and disposal charges
- Capital committed to product development, sampling or tooling where applicable
Inventory is purchased with the client’s capital and remains the client’s property. The commercial exposure that comes with owning it remains the client’s as well.
Conditions can change, and they are not ours to control
Amazon operates the marketplace and sets its rules. Those rules, and the conditions a business trades under, can change with little or no notice. Among other things:
- Amazon policies, terms and category requirements can change
- Fee structures and storage economics can change
- Listings can be suppressed, and accounts or selling privileges can be restricted or removed
- Competition, pricing and demand can move in ways nobody predicted
- Supply chains, lead times and freight costs can be disrupted
- Search, advertising and ranking behaviour can change
Trexa can respond to these conditions within the agreed operating scope. It cannot prevent them, and it does not control them.
No outcome is promised
Trexa does not promise, project or guarantee any level of sales, revenue, profit, margin, ranking, return on investment or business outcome. No figure or illustration presented on this website should be read as a forecast, promise or expectation of a particular result unless expressly stated otherwise in a signed agreement.
Any description of process, method or operating approach on this website describes how work is carried out. It is not a prediction of what that work will produce. Where a document, template or example is published, it illustrates structure only — it is not a representation of results, past or future, and should not be read as one.
Results depend on factors outside Trexa’s control, including product and category economics, competition, capital available, supplier performance, inventory decisions, marketplace conditions and Amazon’s own rules and actions.
What Trexa is, and what it is not
Trexa provides operational services for client-owned Amazon businesses. It carries out agreed operating work on an account that the client owns.
An engagement with Trexa is a services arrangement; it is not presented as an investment product, investment vehicle or passive-income opportunity.
Trexa does not take ownership of the client’s Seller Central account, and does not ask for the client’s primary account password. Commercial terms are governed by the signed engagement agreement.
Where responsibility sits
The client owns the business. Within the terms of the engagement, the client retains ownership of the Seller Central account and of all inventory, retains approval over purchasing decisions, and remains responsible for the commercial consequences of the business’s decisions.
Trexa is responsible for carrying out the operating scope agreed in writing. The engagement agreement defines the parties’ respective responsibilities, approvals and obligations. Responsibility for the underlying commercial venture does not transfer to Trexa by virtue of that work.
Commercial terms are contractual
Trexa’s management compensation can be structured through an agreed profit-share arrangement rather than a fixed monthly retainer. The definition of profit, the treatment of operating costs, the financial baseline for an account already trading, the calculation method, reporting, termination and handover are all defined in a signed engagement agreement.
No percentage, formula or worked example is published on this website, because those terms are agreed per engagement rather than advertised. An overview of the points the agreement addresses is on the full account management page. Where anything on this website differs from the signed agreement, the agreement governs.
